Membership Agreement
This Membership Agreement (the Agreement) is effective the date signed and submitted by and between the BxB Professionals LLC, hereinafter referred to as “BxB” or “Community”, accessed via www.BxBpros.com web sites or applications, with a business address of 640-d Belle Terre Road, Port Jefferson, New York 11777, and all current and future members of BxB Professionals LLC hereinafter referred to as “You”, “Member” or “Members”
By accessing, browsing or using the www.BxBpros.com website or mobile app or by selecting I Accept during the membership registration, you represent that you have read, understand and agree to be bound by the terms and conditions of this Membership Agreement hereinafter referred to as Agreement. All notifications that pertain to your membership information, position, standing, etc shall be delivered by email to the email address, you the member, have entered into your profile. It is solely the responsibility of the member to confirm, verify and maintain a valid email address that will be used for all notifications regarding their membership. Notifications, including membership status, membership dues, membership reminders, warnings, termination, etc, shall be delivered to the member by the email address kept on their profile. It is the Members responsibility to make sure that all disseminating emails from BxB Professionals LLC, The members chapter, Members board and or it’s member partners are not directed to Junk, Spam, Blocked, etc.
1. Non Discriminatory – General Code Of Ethics
BxB Professionals LLC does not unlawfully discriminate against any potential member/member because of race, religious creed, color, national origin, ancestry, physical disability, mental disability, medical condition, gender, genetic information or marital status.The Community is a social network facilitating the exchange of personal and business information between people and businesses.
Members are expected to uphold the following BxB Code of Ethics and also BxB’s Policies and Procedures.:
- I commit to delivering the level of service promised at the agreed-upon prices.
- I pledge to be honest and transparent in my dealings with both members and their referrals.
- I aim to cultivate trust and goodwill within the community, fostering positive relationships.
- I will assume responsibility for promptly following up on any referrals I am given.
- I endeavor to maintain a positive and supportive attitude in all interactions.
- I will adhere to the ethical standards inherent in my profession.
Member Guidelines
The final authority regarding BxB General Policies lies with the Membership Committees of each chapter. These committees have the power to place a BxB Member on probation or open a Member’s Category if there is a failure to adhere to the Member Policies, the Code of Ethics, or BxB Core Values.
In a BxB chapter, only one individual per category is allowed to join. Each Member is limited to holding a single BxB category within a chapter, ensuring a focused professional representation.
Members of BxB are required to uphold their primary professional focus. Punctuality is essential, as BxB Members must arrive on time and stay for the entire published meeting duration.
Membership in a BxB Chapter is exclusive, with each individual limited to only one chapter.
BxB Members are allowed three absences within a continuous six-month period. In case of inability to attend, a substitute may be sent without it being counted as an absence. A substitute cannot represent a member more than 10 times in a continuous twelve month period.
Active participation is expected from Members, who are encouraged to contribute by bringing qualified referrals and/or visitors to the BxB Chapter. Visitors are welcome to attend up to two BxB Chapter meetings prior to submitting an application.
Featured Speaking Presentations during BxB Meetings are reserved for BxB Members who have completed the Member Training Program, as well as BxB Directors/Director Consultants.
Leaves of absence are considered in specific extenuating circumstances, such as extended medical issues preventing members from working, and are granted at the discretion of the Membership Committee.
Should a Member wish to change their BxB category, they must submit a new membership application for approval, with no additional fees due at that time.
BxB membership lists are strictly for referral purposes. Before sending any marketing or business solicitation communications to BxB Members outside their chapter or Directors/Director Consultants, the recipient must provide explicit consent, which must be freely given, specific, informed, and unambiguous.
These policies are subject to change, and any proposed changes require review by the BxB Professionals LLC partners.
2. User Registration and Information
Members shall fill in the correct information requested in the User/Application/ Registration form on the site. Members shall be required to promptly update the Profile Information on the site and Maintain its accuracy. Members shall select a username and password during the User Application/Registration process. Members shall be responsible for: a) all use of the Site made by the Members username and password, and b) maintaining the confidentiality of the Members username and password.
3. Content on the Services:
Members are accountable for your utilization of the BxB Site and Services, as well as any Content you furnish, ensuring adherence to applicable laws, rules, and regulations. Do not submit or send any Content unless you are willing to accept responsibility for it.
Similar to any content disseminated over the Internet, it is imperative to assess the source of the Content or materials before utilizing or relying on them. Your use of the Content and BxB Site is at your own risk.
BxB is an intellectual property proprietor, recognizing the expenses incurred in developing and sustaining intellectual property. BxB also respects the intellectual property rights of others and anticipates users of the BxB Site and Services to do the same. We retain the right to eliminate Content believed to be infringing without prior notice, at our sole discretion, and without any liability to you. We will address notices of alleged copyright infringement in accordance with applicable laws Users of the Services are expected to operate in a lawful, ethical, and professional manner. Users shall conduct themselves in a fair, responsible, and businesslike manner at all times, avoiding any discourteous, deceptive, misleading, or unethical practices. You are solely responsible for any comments or posts you leave on our Site, blogs, or any BxB site. BxB does not control posted content and does not guarantee its accuracy, integrity, or quality. While using the Site or the Services, you may be exposed to content that you may find offensive, indecent, or objectionable. BxB will not be liable in any way for any content, including errors or omissions in any content, or any loss or damage incurred due to the use of any content posted or made available via the Site or the Services.
Examples of unethical or unlawful activities include, but are not limited to the following:
- False, misleading, or disparaging statements of any kind about BxB or its affiliated entities or any person or entity using the Site or the Services.
- Any unauthorized use of the name, logo, trademark, or copyrighted material of BxB, its affiliated entities, or any other person or entity.
- Violation of any federal, state, or local laws or regulations.
- “Spamming,” defined as the abuse of electronic messaging systems to indiscriminately send unsolicited bulk messages, is strictly prohibited by BxB and will result in the immediate termination of your account. Spamming may also be illegal under applicable laws and may subject you to civil or criminal penalties.
Your use of software made available via a BxB Site is subject to any applicable license agreement or user agreement or the documentation that accompanies or is included with the software (“License Terms”). If software provided on or through a BxB Site is not licensed for your use through specific License Terms, you may use the software subject to the following: (a) the software may not be modified or altered in any way, and (b) the software may not be redistributed.BxB reserves the right (but not the obligation) in its sole discretion to screen, refuse, move, or remove any content that violates the Terms of Service (ToS) or is otherwise objectionable.You assume all risks associated with the use of any content on the BxB Site or in connection with the Services, including any reliance on the accuracy, completeness, or usefulness of such content.You acknowledge that BxB may access, preserve, and disclose your information if required by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the provisions of this ToS; (c) respond to claims that any content violates the rights of third parties; (d) respond to your requests for customer service; or (e) protect the rights, property, or personal safety of BxB, its users, and the public.
The Services and software embodied within the Service may include security components that permit digital materials to be protected. The use of these materials is subject to usage rules set by BxB and/or its technology providers. You may not attempt to override or circumvent any of the usage rules embedded in the Services.
4. Release
If the Member has a dispute with one or more other Members, Administrators, etc…the Member shall release the Community (and its officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.BxB Professionals LLC, it’s owners or administrators, can terminate any members membership at any time for any reason. Primary reasons for termination may include, but not be limited to, not following the BxB code of ethics, it’s expected policies and or procedures, not adhering to minimum chapter requirements to maintain good standing, payment of required dues, anything that may cause the Community or it’s members embarrassment or fall out of public repute.
5. Privacy
Community shall not sell or rent Members personal information to third parties without Members explicit consent. Community shall store and process Members information on computers located in the United States that are protected by physical as well as technological security devices. However, all data, information, pictures, etc, populated into the web site or mobile app, shall become property of the Community. The Community shall be permitted to access and modify Members information at will at any time.
6. Indemnity And Defense
Member shall indemnify and hold the Community (and its officers, directors, agents, subsidiaries, joint ventures and employees) harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of Members breach of this Agreement, or Members violation of any law or the rights of a third party.
You shall defend, indemnify, and hold harmless BxB and its affiliates, along with their respective employees, directors, agents, and representatives, from and against any and all claims, costs, losses, damages, judgments, penalties, interest, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your use of the Site or the Services; (ii) any actual or alleged breach of your representations, warranties, or obligations as set forth in this ToS; (iii) any content you provide, including but not limited to any actual or alleged infringement of any intellectual property or proprietary rights of any third party.
7. Limitation of Liability.
BxB shall not be liable for direct or indirect damages of any kind, including without limitation incidental, punitive, or consequential damage or loss arising out of or in connection with this ToS, the Site, the Services, inability to use the Site or the Services, or resulting from any goods or services obtained, or messages received, or transactions entered into through the Site or the Services.
8. Disclaimer of Warranties.
The BxB Site and the Services are provided on an “as is” and “as available” basis. BxB makes no representations or warranties of any kind, express or implied, concerning the Site, the Services, or the content thereof. To the fullest extent permissible under applicable law, BxB disclaims any and all such warranties, including without limitation:
- Any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
- That the Site or the Services will meet your requirements, will always be available, accessible, uninterrupted, timely, secure, or operate without error;
- That the information, content, and materials included on the Site will be as represented;
- Any implied warranty arising from the course of dealing or usage of trade; and
- Any obligation, liability, right, claim, or remedy in tort, whether or not arising from the negligence of BxB.
9. No Agency
No agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is intended or created by this Agreement.
8. Membership Fees – Refunds – Termination and Penalties.
Members shall choose to retire or delete the published content from the Community’s site and it shall be no longer available or visible to other visitors. Terms regarding the status of the uploaded content shall remain applicable when the Member chooses to terminate the membership. Contents posted to the site, other than the published content, shall not be deleted or retired as a result of the Members termination. Paying for your membership online does not imply acceptance to BxB. All applicants must be reviewed and approved by the individual chapter membership committee that they are applying consideration to in order to be a BxB member. Your application will be reviewed by the Chapter’s Membership Committee, and you will be notified of the status after the review process is completed. Upon acceptance into BxB, your fees are non-refundable without exception. If you choose or circumstances cause you to cancel, resign your membership, take an approved leave of absence, terminate, etc.. for any reason, a Certificate of Credit for your time remaining MAY be granted on a case by case basis.
Administrative Policies
An initial application fee is required, with annual fees payable thereafter. For specific amounts, please contact the chapters Secretary/Treasurer. Payment options may vary from Chapter to Chapter.
BxB has the authority to establish chapters in any city or community where individuals are interested in developing a referral-based business. Additionally, BxB reserves the right to open multiple chapters in a single community or city, based on demand for BxB services.There are no Specific territorial boundaries for any chapter so long as its members can support the referrals it receives.
Membership fees must be paid 30 days before the due date. Members who fail to make payment by the first day of the due month will be considered late and subject to a late charge. If fees remain unpaid after 15 days, the member will be officially dropped by BxB.
All fees are non-refundable. Members in good standing can request a certificate of credit for the unused portion of their membership time.BxB Professionals LLc will determine if a credit will be issued, on a case by case basis.
Transferring fees from one person to another is only permissible if the fees are from the same company.
BxB maintains a strict policy on returned checks. Members have three working days to resolve the matter with their Regional BxB office; otherwise, any unresolved returned checks will be turned over to collections. A minimum $35 returned check fee will be assessed for all returned checks. A member passing a second NSF check will face immediate termination.
BxB is a marketing service provided by BxB Professionals LLC. BxB and its franchisees retain the right to discontinue a member’s participation in the program.
Members seeking a transfer from their current chapter to a new chapter must submit a completed new member application to the Membership Committee of the new chapter. If the member has less than 12 months of paid membership credit, a renewal payment is required. For those with more than 12 months of paid membership credit, no additional investment is needed. Upon acceptance into the new chapter, the credit from the previous chapter will be added to their membership in the new chapter, along with the applicable renewal time, if necessary.
9. Governing Law
This Agreement shall be construed under and governed in accordance with the laws of the State of New York.
10. Arbitration.
Any dispute arising under this contract shall be resolved under the commercial arbitration rules of the American Arbitration Association.
11. Fees and Payments
Upon ordering a service, you will be provided an opportunity to review and accept the associated fees. Prices, availability, and other terms of purchase are subject to change. BxB reserves the right, without prior notice, to discontinue or modify specifications and prices for services offered on and outside the BxB Site without incurring any obligation to you. All fees may be subject to applicable taxes.
It is your responsibility to furnish accurate, current, and complete information when ordering services through the BxB Site or any other means. In the event of purchasing a service through the BxB Site or alternative channels, payment must be received before the acceptance of an order. BxB may need to verify the information you provide before accepting your order and retain the right to cancel or limit your order at any time after placement. Subject to relevant membership policies, if payment has been made and your order is subsequently canceled or limited, BxB will refund any payment made for the service that will not be delivered due to the cancellation or limitation of the order, using the same tender as the original purchase.
Should your credit card company decline or refuse payment for the purchased service, you agree that, at our discretion, we may suspend or terminate service delivery and may necessitate payment of any outstanding amounts through alternative means acceptable to us, including any overdue amounts incurred (such as third-party chargeback fees or penalties). In the event that legal action becomes necessary to collect outstanding balances, you agree to reimburse us for all expenses incurred in recovering sums due, including attorney fees and other legal expenses.
Purchases of additional products and services through the BxB Site may be subject to additional terms and conditions presented to you at the time of purchase.
